01 / AGREEMENT

Agreement and scope

These Terms of Service (“Terms”) are a binding agreement between you and Market Action Dynamics (“MAD,” “we,” “us,” or “our”). They govern your access to and use of marketactiondynamics.com and the MAD websites, dashboards, applications, content, communications, and services that link to these Terms (collectively, the “Services”).

By accessing or using the Services, creating an account, entering the private preview, purchasing a subscription, or submitting content, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

02 / ELIGIBILITY

Eligibility and accounts

You must be at least 18 years old and legally capable of entering into this agreement. If you use the Services for an organization, you represent that you have authority to bind that organization.

You must provide accurate account information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account. Social sign-in providers may impose additional terms governing their services.

Access levels, roles, contributor permissions, and premium features may be assigned, reviewed, activated, suspended, or removed by MAD administrators consistent with these Terms.

03 / PREVIEW

Private preview and beta features

During a private preview, access is limited to invited users and may require a shared access credential. Do not publish, transfer, or distribute that credential without permission.

Preview, beta, experimental, and unreleased features may be incomplete, inaccurate, unavailable, modified, or discontinued at any time. Data created through those features may be reset or removed as reasonably necessary for testing, security, migration, or product development. You should retain independent copies of information you cannot afford to lose.

Financial information disclaimer

Important market-risk disclosure

MAD provides information, planning, analytical, publishing, and educational tools. It does not provide personalized investment, legal, tax, or accounting advice and is not a broker-dealer, investment adviser, exchange, fiduciary, or trade-execution service.

Nothing in the Services is a recommendation, solicitation, guarantee, or offer to buy or sell a security, derivative, commodity, digital asset, or financial product. References to strategies, market structure, price levels, scenarios, probabilities, contributors, providers, or products do not constitute endorsements or individualized advice.

Trading and investing involve substantial risk, including the possible loss of principal and losses exceeding initial capital for certain leveraged products. Past performance, hypothetical results, modeled outcomes, and historical reactions do not guarantee future results. You are solely responsible for your research, decisions, orders, risk controls, and compliance with laws and account agreements. Consult qualified professionals where appropriate.

05 / DATA

Market data and analytical tools

Quotes, news, calendars, earnings information, economic events, options data, calculations, charts, session ranges, and other market information may come from MAD, contributors, exchanges, issuers, public sources, or third-party providers. Information may be delayed, estimated, incomplete, unavailable, or incorrect. Displayed timestamps and labels should be reviewed before use.

Calculators and scenario tools produce estimates based on inputs, assumptions, and models. Actual prices, volatility, liquidity, execution, taxes, fees, assignments, and market conditions may differ materially. You must independently verify information before acting on it.

Unless we expressly authorize otherwise, market data and provider-supplied content are licensed for your personal, non-commercial use within the Services. You may not redistribute, resell, scrape, create a competing data product from, or remove attribution from that information.

06 / MEMBERSHIP

Subscriptions and payments

MAD may offer free, premium, institutional, promotional, or other access levels. Features, limits, pricing, billing periods, and renewal terms will be disclosed at checkout or when a plan is activated.

If a paid plan is described as recurring, you authorize the applicable payment processor to charge the payment method on file at each renewal until cancellation. You may cancel future renewals through available account controls or by contacting us. Cancellation does not ordinarily refund a completed billing period unless stated otherwise or required by law.

We may change future pricing or plan features with reasonable notice. Taxes and third-party charges are your responsibility where applicable. Failed payments may result in reduced or suspended access.

07 / CONTENT

User and contributor content

You retain ownership of original notes, plans, drafts, articles, images, data, and other materials you submit (“User Content”). Private workspace content is not made public merely because you save it in the Services.

You grant MAD a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, and otherwise use User Content as necessary to operate and improve the Services. If you submit content for contribution or publication, that license also permits MAD to review, edit, adapt, display, publish, distribute, promote, syndicate, and archive the submission, in any media, with attribution where reasonably appropriate.

Contributor submissions require administrative or editorial approval. MAD may accept, reject, edit, postpone, label, correct, unpublish, or remove a submission at its discretion. Publication does not make a contributor an employee, agent, investment adviser, or spokesperson for MAD.

You represent that you have all rights needed to submit User Content; that it is not unlawfully confidential, defamatory, deceptive, infringing, or manipulative; and that required disclosures regarding compensation, positions, affiliations, sponsorships, and conflicts are accurate and complete.

08 / CONDUCT

Acceptable use

You may not use the Services to:

  • violate law, regulation, exchange rules, or another person’s rights;
  • manipulate markets, distribute false or misleading investment claims, impersonate others, or conceal material conflicts;
  • upload malware, probe security, bypass access controls, misuse credentials, or interfere with the Services;
  • harvest personal information, automate abusive requests, scrape restricted content, or overload infrastructure;
  • copy, reverse engineer, frame, resell, sublicense, or build a competing service from protected portions of the Services, except where law expressly permits; or
  • use MAD branding, content, or data to suggest an endorsement, registration, performance guarantee, or relationship that does not exist.
09 / OWNERSHIP

MAD intellectual property

The Services—including their design, software, dashboards, taxonomy, workflows, text, graphics, branding, compilations, and MAD-created content—are owned by MAD or its licensors and protected by intellectual-property and other laws.

Subject to these Terms, MAD grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. No rights are granted except those expressly stated. Feedback you voluntarily provide may be used by MAD without restriction or compensation.

10 / THIRD PARTIES

Third-party services, links, and advertising

The Services may integrate with or link to identity providers, market-data vendors, publishers, brokers, fintech products, advertisers, payment processors, and other third parties. Their services and content are governed by their own terms and privacy practices. MAD does not control and is not responsible for third-party availability, accuracy, security, products, or conduct.

Reviews, rankings, comparisons, advertisements, sponsorships, and affiliate relationships may involve compensation. Where required, MAD will provide appropriate disclosures. Advertising does not constitute a recommendation or guarantee.

11 / ACCESS

Suspension and termination

You may stop using the Services at any time. MAD may restrict, suspend, or terminate access when reasonably necessary to protect users or the Services, enforce these Terms, comply with law, address nonpayment, investigate misuse, or discontinue a feature or service.

Provisions that by their nature should survive termination will survive, including ownership, licenses already granted for published content, disclaimers, liability limitations, indemnification, and dispute provisions.

12 / DISCLAIMERS

Service disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” MAD disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

MAD does not warrant that any information, alert, calculation, contributor content, market event, price, or third-party service is accurate, complete, timely, suitable, or available. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

13 / LIABILITY

Limitation of liability

To the fullest extent permitted by law, MAD and its owners, affiliates, licensors, service providers, contributors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, goodwill, or opportunities; trading or investment losses; or damages arising from reliance on information, even if advised that such damages are possible.

To the fullest extent permitted by law, the aggregate liability of MAD and the foregoing parties for claims arising from the Services will not exceed the greater of (a) the amount you paid MAD for the Services during the twelve months before the event giving rise to the claim or (b) one hundred U.S. dollars. These limitations do not apply where prohibited by law.

14 / INDEMNITY

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless MAD and its affiliates, owners, officers, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your User Content, your violation of these Terms, your misuse of the Services, or your violation of another person’s rights.

15 / LAW

Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from these Terms or the Services will be brought in the state or federal courts located in Connecticut, and each party consents to their jurisdiction and venue.

Before filing a claim, you and MAD agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the issue and requested resolution. Nothing prevents either party from seeking urgent injunctive relief or using an eligible small-claims process.

16 / CHANGES

Changes, notices, and miscellaneous terms

We may update these Terms as the Services evolve. We will post the revised Terms, update the effective date, and provide additional notice when required. Continued use after revised Terms become effective constitutes acceptance where permitted by law.

If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; MAD may assign them in connection with a reorganization, financing, merger, acquisition, or sale. These Terms, the Privacy Policy, and any service-specific terms presented to you form the agreement governing the Services.
